Terms of Service

By accessing or using CannaBuy (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

CannaBuy is a cannabis club management platform that provides:

• Point-of-sale (POS) transaction processing
• Inventory management and stock tracking
• Member management and FICA document verification
• DAA, VAT, and SARS compliance reporting
• Multi-location management and staff access controls
• Analytics and business intelligence dashboards

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must be 18 years or older to create an account
• One account per organisation; do not share login credentials across unrelated parties
• You must notify us immediately of any unauthorised access to your account

4.1 Plans

CannaBuy offers tiered subscription plans (Starter, Growth, Enterprise) as described on our pricing page. Features and limits vary by plan.

4.2 Free trial

New accounts may receive a free trial period. At the end of the trial, you must subscribe to continue using the Service. We will notify you before your trial expires.

4.3 Payment

Subscription fees are billed monthly or annually in advance. All fees are in South African Rand (ZAR) and exclude VAT unless stated otherwise. Payment is processed through our third-party payment provider.

4.4 Price changes

We may change subscription fees with 30 days’ notice. Price changes take effect at your next billing cycle. If you do not agree to the new pricing, you may cancel before the change takes effect.

4.5 Refunds

Subscription fees are non-refundable except where required by South African consumer law. If you believe you are entitled to a refund, contact hello@cannabuy.co.za.

5.1 Legal compliance

You are solely responsible for ensuring that your cannabis club operates in compliance with all applicable South African laws, including but not limited to:

• The Cannabis for Private Purposes Act
• The Prevention and Combating of Corrupt Activities Act
• Financial Intelligence Centre Act (FICA)
• Value-Added Tax Act (VAT Act)
• Protection of Personal Information Act (POPIA)

5.2 Data accuracy

You are responsible for the accuracy of all data entered into the Service, including member information, transaction records, and compliance reports. CannaBuy provides tools for compliance reporting but does not guarantee legal compliance.

5.3 Member verification

You are responsible for verifying member identity and eligibility in accordance with FICA requirements. CannaBuy provides document storage and review tools but does not perform identity verification on your behalf.

5.4 Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to the Service or other accounts
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without written permission
• Use automated tools to access the Service except through our published API

• You retain ownership of all data you enter into the Service
• We do not claim ownership of your club data, member records, or transaction history
• You may export your data at any time through the Service’s export features
• Upon account closure, you may request a complete data export within 30 days
• After 30 days, data is anonymised and cannot be recovered

The Service, including its software, design, branding, and documentation, is the intellectual property of CannaBuy (Pty) Ltd. Nothing in these Terms grants you ownership of the Service or its intellectual property.

You may not copy, modify, or create derivative works of the Service without our written consent.

• We target 99.9% uptime but do not guarantee uninterrupted availability
• We may perform scheduled maintenance with reasonable advance notice
• We are not liable for downtime caused by circumstances beyond our reasonable control
• Critical security patches may be applied without advance notice

To the maximum extent permitted by South African law:

• CannaBuy is provided “as is” without warranties of any kind, express or implied
• We do not warrant that the Service will be error-free or uninterrupted
• Our total liability shall not exceed the subscription fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for losses arising from your failure to comply with applicable laws

Nothing in these Terms excludes liability that cannot be excluded under the Consumer Protection Act (CPA) or other applicable South African legislation.

You agree to indemnify and hold CannaBuy harmless from any claims, losses, or damages arising from:

• Your use of the Service in violation of these Terms
• Your violation of applicable laws or regulations
• Your breach of any obligation to your members or third parties
• Any data you enter into the Service that is inaccurate or unlawful

11.1 By you

You may cancel your subscription at any time through the billing settings. Cancellation takes effect at the end of your current billing period. You retain access to the Service until that date.

11.2 By us

We may suspend or terminate your account if:

• You breach these Terms and fail to remedy the breach within 14 days of notice
• Your payment fails and is not remedied within 7 days
• We are required to do so by law or regulatory authority
• We reasonably believe your use poses a security risk to the Service or other users

11.3 Effect of termination

Upon termination, your right to use the Service ceases immediately. You may request a data export within 30 days. After 30 days, your data is anonymised. Sections 6, 7, 9, and 10 survive termination.

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be resolved as follows:

• Negotiation: The parties shall first attempt to resolve disputes informally within 30 days
• Mediation: If unresolved, disputes shall be submitted to mediation under AFSA rules
• Litigation: If mediation fails, disputes shall be submitted to the jurisdiction of the South Gauteng High Court

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
